By accessing these Sites or using our Services, you agree to these Terms and Conditions (the “Terms”). If you do not agree with any part of these Terms, please discontinue use of our Sites and Services immediately.

These Terms govern your access to and use of the following ACS products, services, and tools (collectively, the “Services”):

We are a company registered in Texas, USA, providing Services across all U.S. states.

1. USER ACCOUNTS

1.1 Account Accuracy: You agree to provide accurate, current, and complete information when creating an account. Inaccurate information may result in suspension or termination of Services.

1.2 Account Security: You are responsible for safeguarding your login credentials (username, password, API keys, etc.) and for any activities conducted under your account.

1.3 Unauthorized Access: If you suspect unauthorized access to your account, immediately notify us at [email protected]. ACS is not liable for any loss or damage arising from unauthorized use of your account if you fail to notify us promptly.

2. USE OF SERVICES

2.1 Lawful Purposes: You agree to use our Services only for lawful purposes and in compliance with all applicable laws and regulations.

2.2 No Interference: You shall not misuse or interfere with our Sites, servers, or networks connected to our Services. Attempting to gain unauthorized access to any part of the Services or user data is strictly prohibited.

2.3 Regulatory Compliance: If you use our Services for regulated activities (e.g., ACA enrollment or lead generation in regulated industries), you are solely responsible for complying with relevant regulations (e.g., HIPAA, TCPA, insurance laws, or other federal/state requirements).

2.4 Responsibility for AI Outbound Calling & Other AI Features

Consent Required: When using AI Outbound Caller, AI Receptionist, or any automated/AI-driven communication features, you must obtain prior express consent from individuals you contact.

Legal Liability: ACS is not liable for violations of telemarketing, privacy, or consumer protection laws (including TCPA) arising from your non-compliant use of these features.

User Accountability: Any calls, messages, or other AI activities initiated under your account are your responsibility. You agree to indemnify and hold ACS harmless from any claims related to your AI usage.

3. PRICING & USAGE FEES

No universal setup fee applies unless otherwise stated in your plan. Instead, fees depend on actual usage and selected plan features. All fees are subject to change; refer to your account dashboard or official ACS rate card for the latest updates.

3.1 CRM Subscription & General Usage

Monthly CRM Subscription: Billed based on the plan you select (e.g., Basic, Pro, Enterprise).

Usage-Based Charges: Certain features (phone, SMS, email, AI calling, etc.) incur additional charges beyond the base subscription.

3.2 Phone System & Call Fees

Local Numbers (US/Canada): $1.15/month per number

Toll-Free Numbers (US/Canada): $2.15/month per number

International Numbers: Billed at Twilio’s standard international rate

Call Charges: Outbound/inbound call rates vary by destination and are billed per minute. These are passed through from Twilio or other telecom providers.

3.3 SMS Messaging Fees

Outbound SMS (US/Canada): $0.0166 per segment

Inbound SMS (US/Canada): $0.0166 per segment

International SMS: Billed at Twilio’s international rates

Segments: Long messages may be split into multiple segments, incurring additional fees.

3.4 Email & Validation Fees

LC Email System: $1.40 per 1,000 emails (0.0014/email).

Email Validation: $5 per 1,000 validations (0.005/email).

Additional fees may apply for advanced email deliverability features or third-party SMTP services.

3.5 AI Features & Call Enhancements

AI Receptionist

Per-Minute Charge: Varies by plan

Additional fees for advanced features like speech recognition or natural language processing.

AI Outbound Caller

Billed separately per minute of recording.

Consent: You must ensure compliance with telemarketing laws (TCPA) for outbound campaigns.

Call Recording

Billed separately per minute of recording.

You must comply with call recording consent laws in your jurisdiction (e.g., one-party vs. two-party consent states).

Call Summaries

AI-generated call summaries may incur a per-summary fee or per-minute-of-audio fee.

Transcriptions

Transcribing call audio is charged per minute (rate depends on plan

3.6 Premium Triggers & Actions

$0.02 per Premium Trigger/Action: Certain workflow automations within the CRM, advanced triggers, or specialized actions incur an extra $0.02 per execution.

3.7 A2P 10DLC Registration & Fees

To comply with U.S. carrier requirements for business messaging:

Sole Proprietor Brand: $4.41 (one-time)

Low Volume Standard Brand: $4.41 (one-time)

Standard Brand (Secondary Vetting): $48.51 (one-time)

Campaign Use Case: $16.54 (one-time)

3.8 Third-Party Costs & TikTok Ads

Third-Party Integrations: Costs for services like Twilio, external email providers, or other APIs are passed through to you.

TikTok Ad Spend: Any TikTok ad spend is paid by you and is non-refundable once spent.

4. DATA HANDLING

4.1 Privacy Policy: We collect and process personal information per our Privacy Policy. By using our Services, you consent to these data practices.

4.2 Third-Party Apps: Our Services may integrate with external applications. Data shared with third-party apps is at your own discretion and risk. ACS is not responsible for third-party data handling.

4.3 User Responsibility: You must comply with all data protection laws (e.g., GDPR, HIPAA, state privacy laws) if applicable. ACS disclaims liability for your non-compliance.

5. DISCLAIMERS

5.1 “As Is” Basis: All Services are provided on an “as is” and “as available” basis, without warranties of any kind—express or implied.

5.2 No Warranty: ACS disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted, timely, or error-free Service

5.3 Information Accuracy: While ACS strives for accuracy, we do not guarantee that content or information within our Services is always complete or current.

6. LIMITATION OF LIABILITY

6.1 No Consequential Damages: Under no circumstances shall ACS be liable for indirect, incidental, consequential, or special damages (e.g., lost profits, data loss, or business interruptions).

6.2 Maximum Liability: ACS’s total liability, under any legal theory, is limited to the amount you have paid for the specific Service giving rise to the claim.

6.3 User-Induced Risks: You are solely responsible for actions performed under your account. ACS is not liable for losses or damages resulting from unauthorized access to your account or your failure to comply with these Terms.

7. REFUND & CANCELLATION POLICY

7.1 No Refund Policy

No Refunds: once a billing cycle has begun or Services have been used.

Non-Refundable Fees: TikTok ad spend, AI usage fees, SMS/email charges, phone usage fees, third-party costs, partially used accounts, and any setup or custom development fees.

7.2 Refund Eligibility (Exceptional Cases)

Overcharges or Double Charges: If we inadvertently bill you twice, you may choose a refund or credit applied to the next billing cycle.

7.3 Cancellation Policy

CRM Services: Cancel at least 1 business day before renewal to avoid the next billing cycle charge.

TikTok Ads: Cancel at least 3 business days before the next billing cycle (if applicable).

Trials: Cancel before a trial ends to avoid automatic billing.

7.4 How to Cancel

CRM or AI Services: Log into your account (Account Settings → Billing) or contact us at [email protected].

Outstanding Balances: You must clear any unpaid fees before cancellation completes.

7.5 Payment & Subscription Terms

Auto-Renewal: All subscriptions renew automatically unless canceled in advance.

Failed Payments: Service access may be suspended until payment is successfully processed.

Billing Disputes: Report disputes within 7 days of the charge date.

8. CONSENT TO AI-DRIVEN COMMUNICATIONS

8.1 Consent to Contact: By providing your email or phone number (e.g., during checkout, signup, or lead capture), you consent to receive communications from us via email, SMS, and AI-driven calling (including prerecorded or automated messages).

8.2 Scope of AI Communications

AI Calls & SMS: Our AI may initiate or respond to calls and texts for customer support, scheduling, marketing, or other legitimate business needs.

User Compliance: If you enable AI-driven campaigns in your own account, you must ensure compliance with TCPA and other laws.

8.3 Opt-Out & Unsubscribe

Emails: Click “unsubscribe” in any promotional email.

SMS: Reply “STOP” to any SMS message.

AI Calls: Contact [email protected] to opt out.

8.4 Standard Messaging Rates: Your carrier’s standard messaging and data rates may apply. ACS is not responsible for any fees charged by your mobile provider.

9. ADDITIONAL TERMS

9.1 Governing Law & Dispute Resolution: These Terms are governed by the laws of Texas, USA, without regard to conflict-of-law principles. Any dispute shall be resolved via mediation or binding arbitration in Texas, unless otherwise agreed in writing.

9.2 Severability: If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force and effect.

9.3 Entire Agreement: These Terms, along with any referenced or linked policies (e.g., Privacy Policy, Refund Policy), constitute the entire agreement between you and ACS regarding the use of our Services.

9.4 No Waiver: Failure by ACS to enforce any provision of these Terms does not waive our right to enforce them in the future.
